Offering Memorandum (OM)

The offering memorandum is a detailed, 30-45 page document used to help sell the client to potential buyers. Also called a Confidential Information Memorandum (CIM).

    An offering memorandum typically includes the following information:

  • Executive Summary – Includes a business overview, highlights on why the company is a great investment and a summary of the type of transaction.
  • Business Overview – Company history, customer information, operations information, growth opportunities
  • Industry Overview
  • Employee, management and ownership information
  • Financial Information – Historical and projected income statement and balance sheet; revenue and profitability trends
  • Any supporting information
